Vesting Schedule — Mobley Helms Systems LP

I. Partnership Structure

Mobley Helms Systems, LP ("the Partnership") is the unified operating entity through which MobCorp (holding company of John Mobley) and HelmCorp (holding company of Ron Helms) jointly own and operate a portfolio of technology ventures spanning 143 domains.

The Partnership's holdings include all firms, ventures, intellectual property, infrastructure, and revenue streams owned by or through MobCorp and HelmCorp, collectively and individually.

Andrew Miller is hereby conferred 10% of Mobley Helms Systems LP's holdings, and as a result, 10% of all firms owned by MobCorp and HelmCorp. Andrew holds MobCoin #2, the second issued, establishing the floor valuation for all subsequent MobCoin issuances.

III. MobCoin Ownership Tiers

MobCoin is the unit of membership in the Mobley Helms partnership. Each coin confers specific rights based on its tier of issuance:

IV. Scope of Holdings

Andrew Miller's 10% interest applies to the full scope of the Partnership's portfolio, including but not limited to:

All ventures operated under MobCorp (122 live domains, 21 planned)
All ventures operated under HelmCorp
Revenue streams, intellectual property, and infrastructure
MASCOM — the autonomous systems platform
PhotonicMind — sovereign AI inference engine
All Tier 0-4 conglomerate ventures (AuthFor, VendyAI, MailGuyAI, et al.)

V. Partner Capabilities

All MobCoin holders (#0 through #2) receive full partner capabilities:

Access to all MASCOM systems, tools, and infrastructure
Dedicated AI being instance (personalized digital partner)
Voting rights on partnership decisions (weighted by ownership %)
Revenue distribution proportional to equity stake
Full visibility into all venture operations and financials

MobCoin #3+ holders receive the above capabilities except equity ownership and revenue distribution.

VI. Execution

This vesting schedule is executed and effective as of the date below.
